1. Services & Products

Tate Industries provides technology and software services, consulting, and digital and physical products. The specific scope, deliverables, timeline, and price of any engagement are defined in a written quote, proposal, or invoice provided to you before payment.

2. Quotes, Orders & Pricing

All prices are quoted in U.S. dollars (USD). We provide an itemized quote or invoice before collecting payment. Placing an order or approving a quote constitutes your agreement to pay the stated amount. We reserve the right to correct pricing errors and to decline or cancel any order.

3. Payment

Payments are processed securely by our third-party payment processor, Stripe. We do not store your full payment card details. By submitting payment, you represent that you are authorized to use the payment method provided. Invoices are due as stated on the invoice unless otherwise agreed in writing.

4. Digital Products

Digital products are delivered electronically, typically by email or download link, after payment is successfully processed. You receive a non-exclusive, non-transferable license to use digital products for their intended purpose. You may not resell or redistribute digital products unless expressly permitted in writing.

5. Physical Products

Physical products are shipped within the United States. Shipping costs and estimated delivery times are confirmed at checkout or on your invoice. Title and risk of loss pass to you upon delivery to the carrier. See our Refund & Shipping Policy for more detail.

6. Client Responsibilities

For service engagements, you agree to provide timely access to information, materials, and approvals reasonably needed to complete the work. Delays caused by missing information may affect timelines and cost.

7. Refunds & Cancellations

Our refund, return, and cancellation terms are described in our Refund & Shipping Policy, which is incorporated into these Terms.

8. Intellectual Property

Unless otherwise agreed in writing, ownership of custom deliverables transfers to you upon full payment. Tate Industries retains ownership of its pre-existing tools, methods, and templates. All website content is the property of Tate Industries LLC and may not be copied without permission.

9. Warranties & Disclaimers

We perform our services with reasonable skill and care. Except as expressly stated, our website, services, and products are provided "as is" without warranties of any kind, to the fullest extent permitted by law.

10. Limitation of Liability

To the maximum extent permitted by law, Tate Industries LLC's total liability arising out of or related to any engagement shall not exceed the amount you paid for the specific service or product giving rise to the claim. We are not liable for indirect, incidental, or consequential damages.

11. Governing Law

These Terms are governed by the laws of the United States and the state in which Tate Industries LLC is organized, without regard to conflict-of-law principles.
